2. Purpose
The Synergy Labs provides professional services to businesses, including:
- Process automation.
- Integration of tools and systems.
- Training.
- Management of WhatsApp Business Platform messaging on behalf of client businesses, through our Meta app (the application we have registered with Meta to connect WhatsApp Business accounts).
These terms apply to all of them, together with whatever is agreed with each client.
3. Who they are for
Our services are aimed at businesses and professionals who hire them for their business or professional activity. They are not offered to consumers. Anyone contracting on behalf of a business confirms that they are authorised to do so.
4. Contracting and scope of each service
The scope, deliverables, timelines, price and payment terms of each service are set out in the proposal or contract we agree with each client. If anything agreed there differs from these terms, what has been agreed with the client prevails.
5. WhatsApp Business Platform service
When the service includes WhatsApp, the client connects its WhatsApp Business account to our Meta app through Meta's onboarding process. That connection allows us to send and receive messages on the client's behalf and to manage its account to the extent needed to provide the service it has hired, and only for that.
6. Client obligations when connecting its WhatsApp
By connecting its account, the client undertakes to:
- Have the right to use the phone number and the WhatsApp Business account it connects.
- Comply with the WhatsApp Business policies and with the Meta terms and policies that apply to it.
- Obtain its contacts' consent for the messages that require it.
- Pay Meta for the messages Meta bills to its own account. Those charges are separate from the price of our services.
7. The account remains the client's
The WhatsApp Business account and the phone number remain the client's at all times. Connecting them to our app does not transfer any right over them to us.
The client can disconnect our app whenever it wishes, from its Meta business portfolio or from the WhatsApp Business app. We explain how on the Data deletion page. Once it is disconnected we no longer have access to the account and the services that depend on that connection stop working, without prejudice to what has been agreed with the client regarding the duration and payment of the service.
8. Third-party platforms and liability
Part of our services run on third-party platforms, such as Meta's WhatsApp Business Platform. We do not control their availability, technical changes, prices or policies, nor the decisions Meta makes about the client's account, such as restrictions or bans. We are therefore not liable for interruptions, failures or losses originating in those platforms.
We are liable for our services under the terms agreed with each client and in accordance with the applicable law, without excluding any liability that the law does not allow to be limited.
9. Data protection
When we provide the WhatsApp service, we process the data of the client's contacts as a data processor, and the client is the controller: it is responsible for informing its contacts and for having a legal basis for that processing. The details are in our Privacy policy and in what has been agreed with each client.
10. Applicable law and jurisdiction
These terms are governed by Spanish law. For any dispute, the parties submit to the courts and tribunals that are competent under the applicable regulations, unless otherwise agreed with the client.
11. Modifications
We may modify these terms to adapt them to legal changes, changes in third-party platforms or changes in our services. The version in force is the one published on this page, with its update date. Changes do not alter what has already been agreed with each client, unless agreed with them.
